These License & Usage Terms (“Terms”) govern your access to and use of our digital products – website templates, UI kits, components, code starters, and micro SaaS templates – collectively “Templates” – obtained from our website. By downloading, purchasing, accessing, or using any Template, you agree to these Terms.

1) Definitions

• Template(s): Any digital product from us, including design files, code, configurations, assets, and documentation.
• Free Template: A Template offered at no monetary cost.
• Paid Template: A Template purchased on our Site.
• End Product: A website, web app, micro SaaS, mobile app, or other deliverable you build where the Template is part of a larger project and not the primary value as a template.
• Organization: The single legal entity – company or individual – that acquired the Template.
• Attribution: A visible credit acknowledging us as the source or creator – see §6.

2) License Grant

2.1 Free License – Attribution Required. We grant you a non-exclusive, worldwide, non-transferable, non-sublicensable, perpetual license to use, modify, and create derivative works from the Free Template to build unlimited End Products – including commercial – provided you include attribution as described in §6.

2.2 Paid Commercial License – No Attribution Required. We grant you a non-exclusive, worldwide, non-transferable, non-sublicensable, perpetual license to use, modify, and create derivative works from the Paid Template to build unlimited End Products for yourself or clients, without attribution, subject to §4 and §7.

3) Authorized Users

The license is granted to one Organization. Team members, contractors, and vendors working on behalf of that Organization may access the Template to build End Products for that Organization or its clients. Clients may use the delivered End Product but may not extract or redistribute the Template outside that End Product.

4) Restrictions

You must not:

1. Resell, redistribute, sublicense, or share the Template – original or modified – as a template, theme, kit, starter, component library, or similar product where the Template is the primary value.
2. List the Template – original or modified – on marketplaces or repositories – free or paid – as a template, theme, starter, or asset pack.
3. Use our brand assets – names, logos, trademarks – except for required attribution on Free Templates.
4. Claim the Template itself as your exclusive work or seek IP registration for it.
5. Remove or alter third-party notices embedded in dependencies – see §7.
6. Use the Template to build a competing template generator or dataset where the Template is a material training input or output, without our prior written consent.

5) Permitted Uses

• Use, modify, and combine the Template with your own or third-party assets to build unlimited End Products.
• Deploy End Products to any number of environments, domains, or platforms.
• Charge users for access – subscriptions, licenses, one-time fees.
• Keep modifications closed-source unless a third-party license requires otherwise.

6) Attribution – Free Templates Only

For Free Templates, you must provide visible attribution in the End Product:

• Minimum text: Template by AppArchitectNeo
• Link: https://apparchitectneo.site
• Placement: Footer or About page for web or apps, About or Settings screen for mobile, footer or credits section on marketing pages.

Attribution is not required for Paid Templates.

7) Third-Party Components and Open Source

Templates may include or reference third-party components – for example frameworks, UI libraries, fonts, icons, images, build tools. Those components are governed by their own licenses, which continue to apply. You agree to review and comply with each component’s license terms, obtain any required commercial licenses, and replace any component you cannot or do not wish to license.

8) AI-Assisted Development Notice

Our Templates are authored using AI-powered IDEs and tools with human review and editing. AI systems may generate outputs that incidentally resemble other material. We do not intentionally copy third-party works. We do not guarantee freedom from all third-party claims. You are responsible for final review and suitability for your intended use and compliance environment.

9) Updates, Support, and Bug Fixes

Unless stated on the product page, the license is perpetual and does not include guaranteed updates or support. Where a Template includes stated support or update windows, we will use reasonable efforts to provide them. Updates may add, change, or remove features. You may continue using prior versions subject to these Terms.

10) Delivery, Access, and Backups

After purchase, downloads are delivered via the Site’s account area and or email links. You are responsible for promptly downloading and securely storing your files and maintaining backups.

11) Fees, Taxes, Refunds, and Chargebacks

• Prices are as listed on the Site and may change.
• Taxes – for example VAT, GST, sales tax – may be added as required by law based on your billing details.
• Refunds: Due to the nature of digital goods, all sales are final unless required by applicable law or expressly stated on the product page.
• Chargebacks: You agree to contact us first to resolve issues. Unwarranted chargebacks may result in license termination – see §14.

12) Warranty Disclaimer

TEMPLATES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. WE DO NOT WARRANT THAT TEMPLATES WILL BE ERROR FREE, SECURE, OR MEET YOUR REQUIREMENTS.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE TEMPLATES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC TEMPLATE GIVING RISE TO THE CLAIM – OR INR ₹0 FOR FREE TEMPLATES.

14) Termination

We may suspend or terminate your license if you materially breach these Terms – including unauthorized redistribution or failure to provide required attribution for Free Templates. Upon termination, you must cease using the Template and destroy copies in your possession, except that existing End Products already deployed to end users may continue to operate provided they are not used to redistribute the Template.

15) Intellectual Property

We and our licensors retain all intellectual property rights in the Templates except for the license granted here. You retain rights in your original modifications and your End Products, subject to our rights in the underlying Template and any third-party components.

16) Confidentiality and Reverse Engineering

If we provide non-public assets – for example license keys or update endpoints – you will keep them confidential and not attempt to circumvent access controls or reverse engineer distribution mechanisms.

17) Compliance and Export

You will comply with all applicable laws and regulations, including data protection, consumer, and export control laws. You represent that you are not located in, and will not use the Templates from, any jurisdiction embargoed or restricted under applicable sanctions laws.

18) Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the Site with a revised “Last updated” date. Continued use of Templates after changes constitutes acceptance of the updated Terms.

19) Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of India – State of Gujarat – without regard to conflict of laws principles. Courts located in Surat,Gujarat shall have exclusive jurisdiction, unless mandatory consumer protection laws provide otherwise. Before filing suit, the parties will attempt to resolve disputes in good faith through 30 days of written notice and negotiation.
